To the fullest extent permitted by applicable law, in no event shall CodeDeft be liable to you for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of or inability to use the Site or our services, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses.
Our total liability to you for all claims arising out of or relating to these Terms or your use of the Site or our services shall not exceed the amount paid by you to us, if any, during the twelve (12) months preceding the event giving rise to the liability.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the courts of Noida, Uttar Pradesh, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.
Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiations. If the dispute cannot be resolved through negotiations, it shall be submitted to binding arbitration in Noida, India, in accordance with the Arbitration and Conciliation Act, 1996.
We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
Upon termination, your right to use the Site will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
These Terms constitute the entire agreement between you and CodeDeft regarding the use of the Site and supersede all prior agreements and understandings, whether written or oral, regarding such subject matter.
